Influverse – Terms of Service

Welcome to Influverse ("Influverse," "we," "us," or "our").

These Terms of Service ("Terms") govern your access to and use of our website, platform, applications, tools, and any associated services (collectively, the "Service").

By accessing or using Influverse, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

Influverse is a platform that enables users to create, manage, and distribute digital and AI-generated media across various social platforms.

1. Eligibility & Account Responsibilities

By using our Service, you confirm that:

• You are at least the age of majority in your country, or you have consent from a parent or guardian.
• You will provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account and password, and for all activity under your account.

We may suspend or terminate any account that violates these Terms.

2. Use of Service

You agree not to misuse the Service. Prohibited uses include:

• Engaging in any unlawful, misleading, or fraudulent activity.
• Violating any applicable local, national, or international law.
• Uploading, generating, or distributing content that is defamatory, obscene, harassing, violent, or infringing on intellectual property rights.
• Attempting to gain unauthorized access to systems, interfere with security, or transmit malware.
• Using the Service to impersonate others or misrepresent your affiliation.

Violation of these Terms may result in immediate suspension or termination of your account and possible legal action.

3. Ownership & Intellectual Property

All software, technology, content, and designs on the Influverse platform (excluding user-generated content) are the exclusive property of Influverse or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works of any part of the Service without our prior written consent.

4. User Content & AI-Generated Media

You retain ownership of the content you upload or generate through Influverse. However, by using our Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, process, display, and distribute your content solely for operating, improving, and promoting the Service.

You acknowledge that:

• AI-generated content may include elements created using third-party models or data sources.
• You are solely responsible for ensuring that your use of AI-generated media complies with all applicable laws, platform policies, and rights of others.
• Influverse does not guarantee the accuracy, originality, or legality of AI-generated content.

We reserve the right to remove or restrict content that violates these Terms or applicable law.

5. Payment, Credits, and Pricing

• Some features of the Service may require payment or subscription. Payments are processed securely via Stripe or similar PCI-compliant providers.
• Credits are allocated monthly based on your subscription plan. Unused subscription credits expire at the end of each billing cycle and do not roll over to the next month. Separately purchased credit packs do not expire and remain available until used.
• We reserve the right to modify pricing, subscription tiers, and available features at any time. Price changes will take effect at the start of the next billing cycle.
• All payments are non-refundable except where required by law, with the following exception: Pro plan subscribers may request a full refund within 30 days of their initial purchase by contacting support@influverse.ai.
• You agree to pay all applicable fees and taxes associated with your account.

6. Third-Party Integrations & Tools

Influverse may include integrations with external APIs or services (such as social media platforms or AI generation tools).

You acknowledge that:

• Such third-party tools are operated by independent providers, not by Influverse.
• We are not responsible for any issues, data use, or liabilities arising from third-party integrations.
• Use of third-party tools is subject to their respective terms and privacy policies.

7. Data Privacy

Your use of Influverse is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data.

By using our Service, you consent to the collection and processing of your data in accordance with that policy.

If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, you have additional rights under GDPR regarding access, portability, and deletion.

8. Service Modifications & Availability

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We are not liable for any interruption, downtime, or data loss resulting from such modifications.

9. Feedback & Submissions

If you provide suggestions, feedback, or ideas, you grant us a perpetual, royalty-free, and unrestricted right to use them for any purpose, without obligation to you.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

We make no guarantees that:

• The Service will be uninterrupted, secure, or error-free;
• Content generated by AI or users will be accurate, lawful, or suitable for any purpose.

You use the Service at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

• Influverse and its affiliates, employees, or partners shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits, data, or goodwill).
• Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us (if any) during the preceding 12 months.

Some jurisdictions do not allow such exclusions, so certain limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Influverse, its affiliates, employees, and partners from any claims, damages, or losses arising from:

• Your use or misuse of the Service;
• Your violation of these Terms; or
• Your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, without notice, for conduct that violates these Terms or harms Influverse or others.

Upon termination, your right to use the Service ceases immediately, but provisions related to intellectual property, limitation of liability, indemnification, and governing law shall survive.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of the European Union and the Member State in which Influverse is established, without regard to conflict of law principles.

Any dispute shall be resolved in the competent courts of the European Union Member State where Influverse is registered.

If you are located in the EEA, you also have the right to resolve disputes in your home country under EU consumer protection law. You may also use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. Updates will be posted on this page, and the "Last Updated" date will be revised.

Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
